Welcome to Lernzy! These Terms of Use ("Terms") govern your use of the Lernzy mobile and web applications ("App" or "Service"), provided by Unlock Futurix Ltd ("Lernzy," "we," "our," or "us"). By downloading, accessing, or using Lernzy, you agree to be legally bound by these Terms. If you do not agree, please refrain from using our Service. These Terms of Use govern your access to and use of Lernzy, an AI-powered content assistant. By using Lernzy, you agree to comply with these terms and any applicable laws and regulations. Lernzy may periodically update or discontinue certain features, services, or functionalities without prior notice to improve user experience or to comply with legal and regulatory requirements.

1. About Lernzy

Lernzy is an AI-powered content assistant that helps users save, organize, summarize, and apply content. Lernzy is designed to reduce content overload and help users take meaningful action on their saved content.

1.1 Free vs. Premium Access

A certain number of features and functionalities are made available to you at no cost ("Free Service") during the trial period. We might decide to limit these free accesses if you opt-out of subscription and cancel during the trial period. The features and functionalities of the Free Service are described in the App. We reserve the right to change or discontinue features and functionalities of the Free Service or move them to our Premium Service at our free discretion.

In addition to the Free Service we provide additional features and functionalities on a monthly or yearly subscription basis ("Premium Service"). The features and functionalities of the Premium Service are described in the App. You have the option of testing the Premium Service for free for the duration described in the App ("Free Trial").

You may purchase a Premium Service subscription directly from Lernzy in our App, or through a third party, such as the Apple App Store. When you purchase a subscription through a third party, your purchase is also subject to the terms and conditions of that third party.

By signing up for the Premium Service, you authorize us or the applicable third party to automatically charge your payment method on a yearly or monthly basis, depending on the type of your subscription you chose. Charges will be made for the then applicable subscription charge, plus any applicable taxes and fees.

Your Free Trial will automatically extend to a Premium Service subscription, unless you cancel at least 24h before your Free Trial ends. Your subscription will automatically renew at the end of the applicable subscription period, unless you cancel at least 24h before the current subscription period ends. The extension period will be for the same duration as the former subscription period, i.e. one month or one year. You can cancel the subscription by following the cancellation flow within the app or if you purchase your subscription through a third party, such as the Apple App Store by the cancellation feature of such a third party.

1.1.1 Free Users

• Can manually save and categorize content.
• No AI-generated summaries or call-to-action suggestions.
• No cloud storage—saved content is stored locally and deleted if the app is uninstalled.
• We might restrict the number of days we keep your saved content as in history.

1.1.2 Premium Users (Paid Subscribers)

• AI-powered summaries and call-to-action recommendations.
• Automatic categorization of saved content.
• Cloud storage for seamless access across devices.
• Weekly & monthly digests summarizing saved content.
• We might restrict the amount of saved content, types or other aspects of the saved content based on ongoing policies. Any effective changes will be notified via email or through in app messages.

2. User Eligibility, Account & Acceptance of Terms

These terms of service and all other terms and conditions constitute a legally binding agreement between Lernzy and each registered or unregistered user of the Lernzy App. By accessing and using the App and/or creating a user profile account in the App, you are deemed to have read, accepted, executed and be bound by these Terms of Service.

By using Lernzy and upon signing up and logging in, users agree to the Terms. We do not receive any other confirmation such as checkboxes or any user manual input of confirmation for this.

You are solely responsible for all activity that occurs (including any charges incurred) on your account, and we may assume that any activity under your account was made by you.

2.1 Who Can Use Lernzy?

To be able to use the service of Lernzy you must be at least eighteen (18) years old (or any greater age required to be deemed to have reached the age of majority under the applicable law of the state or jurisdiction of your residence).

If you sign up on behalf of an organization, you confirm that you have the authority to do so.

2.2 Account Creation & Security

• You can sign up using Google, Apple, or email authentication.
• You are responsible for maintaining the security of your account.
• If you believe someone has gained unauthorized access, you must notify us immediately.

3. Subscription & Payment Terms

3.1 Subscription Billing

• Payments are processed by RevenueCat through Apple App Store and Google Play Store.
• Your subscription will automatically renew unless canceled at least 24 hours before the renewal date.
• You can cancel at any time through your app store settings.

3.2 Free Trial Policy

• Lernzy may offer a free trial for new users.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

3.3 Refund Policy

• Lernzy does not offer refunds for subscription payments unless required by local law.

4. Content Ownership & Rights

4.1 User Content

• Users can save content from various sources (articles, YouTube videos, podcasts, etc.).
• Lernzy does not claim ownership over user-saved content.
• Users must ensure they have the right to save and use content within Lernzy.

4.2 Copyright & Fair Use

Users retain ownership of their saved content, subject to the copyrights and ownership rights held by the original publishers. Lernzy is not responsible for users saving copyrighted material without authorization.

Lernzy does not claim ownership of any user-generated or third-party content saved on the platform. All rights remain with their respective owners.

Users are responsible for ensuring they have the right to save and use content within Lernzy in accordance with the original publisher’s terms.

Lernzy may analyze anonymized and aggregated usage data to improve features, enhance user experience, and develop new functionalities.

Lernzy does not sell, distribute, or publicly share individual user data or content without explicit consent.

Lernzy does not host third-party content but enables users to save, summarize, and interact with it. Any content saved remains subject to the copyright and ownership terms of its original publisher.

Lernzy is not responsible for the availability of such Third Party Sites and does not endorse and is not responsible or liable for such Third Party Sites.

Users retain ownership of their saved content, subject to the copyrights and ownership rights held by the original publishers.

Users must ensure they have the appropriate legal rights to save or upload any copyrighted material to Lernzy.

5. Acceptable Use Policy

You agree not to:

• Violate copyright laws by saving or sharing protected content unlawfully.
• Use the AI features to generate misleading or harmful summaries.
• Reverse-engineer or attempt to extract Lernzy’s AI models.
• Spam, abuse, or harass other users (if applicable).
• Prohibited behavior includes hacking, spamming, and abusing AI features.
• Violation of these terms may result in account suspension or termination.

6. Data Storage & Privacy

6.1 Cloud Storage & Data Retention

• Free users: Content is stored locally and lost if the app is deleted.
• Premium users: Content is stored securely in the cloud.

6.2 Data Processing & AI Usage

• Lernzy may analyze aggregated and anonymized usage data to improve AI models.
• Lernzy does not sell user data to third parties.

7. Service Availability & Updates

7.1 Service Changes

• Lernzy is constantly evolving, and features may be updated or removed over time.
• We will notify users of significant changes that impact usage.

7.2 App Compatibility

• Lernzy is optimized for iOS but may not work on older devices and iOS updates.
• Users are responsible for keeping their app updated.

8. Termination & Account Suspension

These Terms of Use will continue until terminated by either one of us. We may pause, suspend or terminate your access to or use of the Free Service, or any part thereof, or close your account, at any time in our sole discretion without notice to you, including without limitation if we determine you have violated these Terms of Use.

We may pause, suspend or terminate your access to or use of the Premium Service, or any part thereof, or close your account, at any time if you fail to pay the charges in a timely manner or if you have otherwise violated these Terms of Use. Also users may delete their account at any time via the Settings page. Upon deletion, all the information including user information, saved content, summaries, etc, will be indefinitely deleted and cannot be recovered. Lernzy reserves the right to:

• Suspend or terminate accounts that violate these Terms.
• Remove saved content that infringes copyright or violates laws.
• Discontinue features or the entire Service with prior notice.

9. Disclaimers & Limitations of Liability

Lernzy does not assume any liability for direct or indirect damages caused by the use of Lernzy or in connection with the Service, to the maximum extent permitted by the applicable law.

In case of violation of these Terms of Use as well as in case of infringement of rights and corresponding claims of third parties, you expressly release Lernzy from any liability and will fully indemnify Lernzy for damages and costs incurred.

Lernzy provides AI-powered summaries and insights for informational purposes only. Lernzy disclaims liability for any actions, decisions, or outcomes based on the use of these insights. The summaries and insights provided by Lernzy are not intended to replace professional advice in areas such as medicine, law, or finance.

9.1 No Guarantees

• Lernzy provides AI-generated summaries and insights for informational purposes only.
• Lernzy is not responsible for errors in AI-generated content.

9.2 Limitation of Liability

• Lernzy is not liable for any damages resulting from reliance on AI summaries.
• To the extent permitted by law, Lernzy disclaims all warranties and liabilities.

10. Third party

The Service may contain information and content provided by third parties (e.g. when listening to a podcast), and links to and integrations with third party websites, applications, services, content, feeds and other resources that are not owned or controlled by Lenrzy (collectively, “Third Party Sites”). Lernzy is not responsible for the availability of such Third Party Sites and does not endorse and is not responsible or liable for such Third Party Sites. If you access Third Party Sites from the Service, you do so at your own risk, and you understand that these Terms and Lernzy's Privacy Policy do not apply to your use of such Third Party Sites and that third party terms and policies may apply. Lernzy relies on third-party tools for:

• AI Processing: OpenAI (Summaries, Call-to-Actions)
• Authentication: Apple, Google
• Payments: RevenueCat (Subscription handling)
• Cloud Storage: Azure for storing saved content.
• Analytics & Performance: Google Analytics for Firebase and user events.
• Email & Notifications: Google Firebase and Mailchimp.

11. Governing Law & Dispute Resolution

Any disputes concerning these Terms of Use, the App and our Service (whether contractual or otherwise) shall be governed by UK Law and shall be subject to the jurisdiction of the courts of the United Kingdom at the registered seat of Lernzy. Any disputes must first be resolved through arbitration or mediation before legal action.

12. Changes to These Terms

Lernzy may from time to time change or amend these Terms of Service. Lernzy will inform you in an appropriate way prior to the effective date (e.g. by e-mail or pop-up-message and not bound by which method). Notwithstanding the terms of this paragraph, no revisions to the Terms of Service will apply to any dispute between you and Company that arose prior to the effective date of such revision. By continuing to use Lernzy after such change, you accept the new Terms of Service.
